Bunge Global SA (BG, Financial) has announced an extension of the expiration date for its previously declared exchange offers and consent solicitations, a strategic move linked to its pending acquisition of Viterra. The extension shifts the deadline from October 7, 2024, to October 31, 2024, at 5:00 p.m. New York City time, with the possibility of further extensions if necessary.
The exchange offers involve swapping any and all outstanding notes issued by Viterra Finance B.V., guaranteed by Viterra Limited and Viterra B.V., for up to $1.95 billion in new notes issued by Bunge Limited Finance Corp. (BLFC) and guaranteed by Bunge, along with cash. The consent solicitations aim to amend existing indentures to eliminate certain covenants and modify provisions, including the release of guarantees by Viterra and Viterra B.V.
This extension is part of Bunge's broader strategy to ensure the successful completion of its business combination with Viterra. Should the acquisition not be anticipated to occur by the new expiration date, further extensions will be considered. The settlement of these offers and solicitations is expected to occur within two business days following the expiration date.
Investors and stakeholders are advised that these actions are conducted under the terms outlined in the offering memorandum and consent solicitation statement dated September 9, 2024, and are contingent upon the closing of the business combination. The process is being carried out in a private offering exempt from registration under the Securities Act of 1933.
