Broadridge Financial Solutions, Inc. (BR, Financial) has announced the appointment of Ashima Ghei as its Corporate Vice President and Chief Financial Officer, effective immediately. This strategic move by the Broadridge Board of Directors aims to bolster the company's financial leadership as Ms. Ghei steps into the role of principal financial officer and principal accounting officer.
Ms. Ghei, who has been serving as the Interim CFO since July 1st, has played a pivotal role in advancing Broadridge's financial strategy and execution during the first half of fiscal year 2025. Her appointment comes with no prior arrangements or understandings with any other person, and she holds no family relationships with any director or executive officer of the company.
In her new role, Ms. Ghei will receive an annual base salary of $600,000 and will be eligible for an annual cash incentive award targeting 100% of her base salary. For fiscal year 2025, she will receive a pro-rated incentive award based on her tenure in the role. Additionally, she will participate in Broadridge's executive benefit programs, including the Officer Severance Plan and Change in Control Severance Plan for Corporate Officers.
Ms. Ghei will also be eligible for annual equity awards, with targets set at $850,000 in performance-based restricted stock units vesting in 2028, and $850,000 in stock options with standard four-year vesting provisions. These equity grants align with those offered to other executive officers and will be valued at the time of formal approval by the Compensation Committee.
Before joining Broadridge in January 2022 as the CFO of its investor communication solutions business, Ms. Ghei had an 18-year tenure at American Express, where she last served as Head of Merchant Pricing for the Americas. Her extensive experience in financial leadership and strategic planning is expected to drive Broadridge's continued growth and success.
