Good morning. I'm Michael Murphy, Chief Executive Officer of Rosecliff Acquisition Corp I. It's my pleasure to welcome all of you today to Rosecliff I special meeting. I'll be serving as Chairman and Secretary of today's meeting.
We're pleased to host today's meeting through this online platform, which allows us to facilitate observation of the meeting by all stockholders wherever they are located. Our rules of conduct for this meeting are posted to the virtual meeting site and provide the guidelines for the meeting. Kathy Wheadon is serving as Inspector of Election and is attending today's meeting.

Notice of the meeting was duly given on or about November 25, 2022 to holders of Rosecliff I's common stock as of 5:00 PM Eastern Time on November 25, 2022, the record date. And the number of shares present or represented by proxy constitutes a quorum.
