Ladies and gentlemen, thank you for standing by, and welcome to the Era Group Inc. 2020 Annual and Joint Meeting of Stockholders. I would now like to hand the conference over to your speaker today, Charles Fabrikant. Please go ahead, sir.
Thank you. Good morning, and thank you for joining the 2020 Joint Annual and Special Meeting of Stockholders of Era Group Inc. My name is Charles Fabrikant, and I am the Nonexecutive Chairman of the Board of Directors. I will be presiding over this meeting. As you are aware, on January 23, 2020, the company Bristow Group Inc. and Ruby Redux Merger Sub, Inc., entered into an agreement and plan of merger, which was subsequently amended on April 22, 2020. Pursuant to the agreement and plan of merger, subject to obtaining the requisite shareholder approval, Ruby Redux Merger Sub, Inc., a direct wholly owned subsidiary of the company, will merge into Bristow Group, Inc., and Bristow Group Inc. will become a wholly owned subsidiary of the company.
